KITE Academy 3.0 Terms of Use

Introduction

Welcome to KITE Academy 3.0 ("KITE Academy 3.0", "KITE", "the Platform", "we", "us", or "our"), a learning management and educational content platform developed by C&E Publishing, Inc (of C&E Adaptive Learning Solutions).

These Terms of Use ("Terms") govern your access to and use of KITE Academy 3.0 and its related services. By accessing or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree with these Terms, please discontinue your use of the Platform.

KITE Academy 3.0 is intended for use by schools and other institutions and their authorized users. Access to features and services may vary depending on your role, your institution's subscription, or other applicable agreements.

We may update these Terms from time to time to reflect improvements to the Platform, changes to our services, or applicable laws. When we do, we will post the updated Terms together with the revised Last Updated date. Your continued use of KITE Academy 3.0 after the updated Terms become effective constitutes your acceptance of the revised Terms.

I. About KITE Academy 3.0

KITE Academy 3.0 provides digital tools that support teaching and learning.

Depending on the services available to your institution, KITE Academy 3.0 may allow authorized users to:

  • access digital learning resources and educational content;
  • manage classes and learning activities;
  • create and administer assessments;
  • record and manage grades;
  • prepare instructional resources using AI-assisted features;
  • connect with supported third-party integrations; and
  • use other educational services made available through the Platform.

AI-assisted features help users prepare instructional resources and other educational materials. Depending on the requested service, these features may use educational information provided by the user together with licensed educational resources and other authorized reference materials available through the Platform.

The features available to you may vary depending on your role and your educational institution's subscription.

C&E Publishing, Inc. may add, improve, modify, suspend, or discontinue features of the Platform when reasonably necessary to improve functionality, maintain service quality, comply with legal requirements, or support the needs of institutions.

II. Authorized Access

Access to KITE Academy 3.0 is limited to users authorized by C&E Publishing, Inc. or a subscribing institution.

You are responsible for safeguarding the information used to access the Platform and for taking steps to prevent unauthorized use.

If you believe your access has been compromised or used without your authorization, you should immediately notify your institution or contact C&E Publishing, Inc.

We may suspend, restrict, or terminate your access to KITE Academy 3.0 to:

  • protect the platform's security and integrity;
  • comply with legal obligations;
  • enforce these Terms;
  • prevent or investigate fraud, unauthorized access, or misuse;

III. Responsibilities of Users

When using KITE Academy 3.0, you agree to:

  • use the Platform only for lawful, educational, and authorized purposes;
  • provide accurate information when required;
  • safeguard your authorized access;
  • respect the rights, privacy, and intellectual property of others;
  • comply with these Terms and the policies of your institution; and
  • use the Platform in a manner that does not interfere with its normal operation or the experience of other users.

You are responsible for the educational information and other content that you create or submit through KITE Academy 3.0.

By creating content through the Platform, you confirm that you have the necessary rights or permission to use and share it.

If you become aware of any misuse of KITE Academy 3.0 or any activity that may compromise its security or integrity, you should promptly report it to your institution or contact C&E Publishing, Inc.

IV. Responsibilities of Institutions

Institutions play an important role in implementing and using KITE Academy 3.0.

Where applicable, the institution is responsible for:

  • authorizing users who may access the Platform;
  • providing appropriate user roles and permissions;
  • maintaining the accuracy of information provided to C&E Publishing, Inc.;
  • informing users of applicable institutional policies relating to the use of the Platform;
  • obtaining any permissions, authorizations, or approvals required under applicable laws or institutional policies; and
  • managing the use of KITE Academy 3.0 within their organization.

C&E Publishing, Inc. is responsible for providing and maintaining KITE Academy 3.0, but is not responsible for the internal policies, administrative decisions, or academic practices of institutions.

V. User Content

You retain ownership of the educational information and other content that you create through KITE Academy 3.0 ("User Content").

By creating User Content, you confirm that you own the content or have the necessary rights or permission to use and share it.

You grant C&E Publishing, Inc. a non-exclusive, royalty-free license to process, store, and display your User Content solely as necessary to provide KITE Academy 3.0 and comply with applicable laws.

This license does not transfer ownership of your User Content to C&E Publishing, Inc.

You remain responsible for the accuracy and appropriateness of the User Content you create or submit through the Platform.

VI. AI-Assisted Features

KITE Academy 3.0 includes AI-assisted features that help users prepare instructional resources and other educational materials.

When you use these features, KITE Academy 3.0 processes only the educational information necessary to provide the requested functionality.

Depending on the requested service, AI-assisted features may use educational information provided by the user together with licensed educational resources and other authorized reference materials available through the Platform.

AI-assisted features are intended to support teaching and learning and should not replace professional judgment or academic review.

Users remain responsible for reviewing and validating AI-assisted outputs before using them for teaching, learning, assessment, grading, or other official educational purposes.

While C&E Publishing, Inc. strives to provide reliable AI-assisted features, we do not guarantee that generated outputs will always be complete, accurate, or suitable for every educational situation.

VII. Third-Party Integrations

KITE Academy 3.0 may integrate with trusted third-party educational and/or productivity services to provide additional functionality.

Use of these integrations is optional and may depend on the services your institution offers.

When you choose to connect a third-party service, KITE Academy 3.0 accesses and uses only the information necessary to provide the requested functionality.

The collection and use of information by third-party services are governed by their respective terms of use and privacy policies. C&E Publishing, Inc. is not responsible for the availability, content, or practices of third-party services.

When users connect to Google services, KITE Academy 3.0's use and transfer of information received from Google APIs will comply with the Google API Services User Data Policy, including the Limited Use requirements.

VIII. Intellectual Property

KITE Academy 3.0, including its software, design, trademarks, logos, documentation, educational content developed by C&E Publishing, Inc., and other proprietary materials, is owned by or licensed to C&E Publishing, Inc. and is protected by applicable intellectual property laws.

Except as expressly permitted by these Terms or with prior written permission from C&E Publishing, Inc., you may not:

  • copy, reproduce, distribute, or commercially exploit any part of the Platform;
  • modify, adapt, reverse engineer, decompile, or attempt to derive the source code of the Platform;
  • remove or alter copyright, trademark, or other proprietary notices; or
  • use the Platform or its contents for purposes other than their intended educational use.

Nothing in these Terms transfers ownership of KITE Academy 3.0 or its intellectual property to any user.

IX. Acceptable Use

To help maintain a safe, secure, and productive learning environment, users must not:

  • use KITE Academy 3.0 for unlawful or unauthorized purposes;
  • attempt to gain unauthorized access to the Platform or another user's authorized access;
  • interfere with the security, availability, or normal operation of the Platform;
  • introduce malicious software, harmful code, or engage in activities that may compromise the security or operation of the Platform;
  • infringe the intellectual property or privacy rights of others;
  • create or submit unlawful, abusive, defamatory, fraudulent, or otherwise inappropriate content; or
  • misuse AI-assisted features or third-party integrations in violation of these Terms or applicable laws.

C&E Publishing, Inc. reserves the right to investigate suspected violations of these Terms and may suspend, restrict, or terminate access where appropriate.

X. Disclaimer and Limitation of Liability

C&E Publishing, Inc. is committed to maintaining KITE Academy 3.0 as a reliable, secure, and continuously improving learning management and educational content platform. While we work to provide a high level of availability and performance, temporary interruptions, scheduled maintenance, or unforeseen technical issues may occasionally affect access to the Platform.

AI-assisted features are intended to support teaching and learning. Users remain responsible for reviewing and validating content generated through AI-assisted features before using it for teaching, learning, assessment, grading, or other official educational purposes.

To the extent permitted by applicable law, C&E Publishing, Inc. shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of, or inability to use, KITE Academy 3.0. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

XI. Suspension and Termination

C&E Publishing, Inc. may suspend, restrict, or terminate access to KITE Academy 3.0 when reasonably necessary to:

  • protect the security and integrity of the Platform;
  • comply with applicable laws or legal obligations;
  • enforce these Terms; or
  • investigate or prevent unauthorized, fraudulent, or improper use.

Where access to KITE Academy 3.0 is provided through an institution, the institution may also suspend or terminate a user's access in accordance with its own policies and agreements.

XII. Changes to these Terms

We may revise these Terms from time to time.

When changes are made, the updated Terms will be posted on KITE Academy 3.0 together with the revised "Last Updated" date.

Your continued use of the Platform after the updated Terms become effective constitutes your acceptance of the revised Terms.

XIII. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
