Welcome to KITE Academy 3.0! These are our terms and conditions to govern your access to and use of the KITE Academy 3.0 website, platform, services, and applications. We are an AI-powered learning and content management system designed to facilitate educational content delivery, AI-assisted lesson plan generation, assessment creation, presentations, and more.

By accessing or using our platform, you agree to be bound by these terms and our privacy policy. If you do not agree to all these terms, do not use the platform.

1. Acceptance of Terms

   By creating an account, accessing, or using the platform, you signify your unreserved acceptance of these terms, as may be updated from time to time. We may modify these terms at any time, and such modifications will be effective immediately upon posting the updated terms on the platform and website. Your continued use of KITE Academy 3.0 after any such changes constitutes your acceptance of the new terms.

2. Service Description

   KITE Academy 3.0 provides a comprehensive learning and content management system that allows educators and learners to:

   • access and utilize pre-loaded educational resources (e.g., e-books, e-lessons, assessments);
   • generate AI-assisted lesson plans, assessments, and presentations;
   • manage and distribute learning content; and
   • engage in various learning activities.

   Access to the Service may be provided via:

   • In-Class Deployment: Access provided within a structured educational setting.
   • Self-Registration: Users create accounts independently.
   • LTI Integration: Integration with existing Learning Management Systems (LMS) via Learning Tools Interoperability.and

3. User Accounts and Registration

   To access certain features of the Service, you may be required to register for an account. You agree to:

   • provide accurate, current, and complete information during the registration process;
   • maintain and promptly update your account information to keep it accurate, current, and complete;
   • maintain the confidentiality of your password and account, and you are fully responsible for all activities that occur under your account;
   • immediately notify C&E Publishing, Inc. of any unauthorized use of your password or account or any other breach of security; and
   • C&E Publishing, Inc. cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

4. User Content

   1. Ownership and License

      You retain ownership of any content you submit, post, display, or otherwise make available on the platform, including but not limited to ebooks, e-lessons, assessments, and other resources ("User Content").

      By submitting User Content to the platform, you grant C&E Publishing, Inc. a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Content in connection with the platform and C&E Publishing, Inc.'s (and its successors' and affiliates') business, including for promoting and redistributing part or all of the platform (and derivative works thereof) in any media formats and through any media channels.

   2. Prohibited Content

      You agree not to post, upload, transmit, distribute, store, create, or otherwise publish through the platform any of the following:

      • content that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent, or otherwise objectionable;
      • content that would constitute, encourage, or provide instructions for a criminal offense, violate the rights of any party, or otherwise create liability or violate any local, state, national, or international law;
      • content that may infringe any patent, trademark, trade secret, copyright, or other intellectual or proprietary right of any party;
      • content that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity; and
      • spam, direct marketing communications, or any unsolicited advertising, promotional materials, or other forms of solicitation.

   C&E Publishing, Inc. takes no responsibility and assumes no liability for any User Content posted, stored, or uploaded by you or any third party, or for any loss or damage thereto, nor is C&E Publishing, Inc. liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography, or profanity you may encounter.

5. AI-Generated Content

   KITE Academy 3.0 includes features that utilize artificial intelligence to generate content (e.g., lesson plans, assessments, presentations) based on your input ("AI-Generated Content").

   • Accuracy: While our AI aims for accuracy and relevance, AI-Generated Content may contain errors, biases, or inaccuracies. You acknowledge that AI-Generated Content is provided "as is" and you are solely responsible for reviewing, verifying, and editing any AI-Generated Content before using it in an educational or professional setting.
   • Intellectual Property: To the extent permitted by applicable law, you own the AI-Generated Content you create using the platform, provided it is based on your original input and does not infringe on third-party intellectual property rights. However, you acknowledge that similar content may be generated by others using the same or similar inputs.
   • No Guarantee: We do not guarantee the suitability, accuracy, or completeness of any AI-Generated Content for any specific purpose.
   1. How AI Generates Content: Retrieval Augmented Generation (RAG)

      Our AI uses a method called Retrieval Augmented Generation (RAG) to create lesson plans, assessments, and presentations. To understand RAG, think of it like a smart assistant who doesn't just make things up but first looks up information from a reliable library before answering.

      Here's how it works:

      • Understanding Your Request: When you ask the AI to generate a lesson plan or an assessment, it first understands what you need (e.g., "a lesson plan on photosynthesis for 5th graders").
      • Searching Our Knowledge Base: Instead of creating content from scratch purely based on its general training, the AI then quickly searches through our specific, loaded resources (your ebooks, e-lessons, existing assessments, and other factual data). This is like the assistant quickly flipping through relevant books and notes in its library.
      • Generating with Context: Once it finds the most relevant information from our resources, the AI uses this specific context to generate your lesson plan, assessment, or presentation. This ensures the generated content is accurate, relevant to your materials, and consistent with the curriculum or topics you've provided. It's like the assistant using the exact details from the books it just read to give you a precise and informed answer, rather than just guessing.

      This approach helps the AI provide more accurate, current, and relevant content by grounding its responses in the specific knowledge base you've supplied, rather than relying solely on its general understanding of the world.

   2. Generic AI-Assist Through Web Search

      In addition to using your specific resources, our AI can also provide assistance by searching and integrating information from the broader web. Think of this as the smart assistant, when it can't find enough information in its internal library, also having the ability to quickly search the internet for publicly available information to help it answer your request.

      Here's how this generic AI-assist works:

      • Understanding Your Request: Similar to RAG, the AI first understands what you're asking for.
      • Broad Web Search: If your request requires information beyond the specific resources you've loaded, or if you explicitly ask for it, the AI can perform a quick search across the vast amount of public information available on the internet. This is like the assistant using a search engine to find relevant articles, studies, or general knowledge.
      • Synthesizing and Generating: The AI then uses the information gathered from the web search, combined with its own broad understanding, to generate content for your lesson plans, assessments, or presentations. This allows for a wider range of topics and up-to-date information that might not be present in your loaded resources.

      It's important to remember that content generated through generic web search relies on publicly available information, which can vary in accuracy and reliability. While the AI aims to synthesize information effectively, it's always recommended to review and verify any content generated using this method.

6. Intellectual Property Rights

   KITE Academy 3.0, its original content (excluding User Content and AI-Generated Content as specified), features, and functionality are and will remain the exclusive property of C&E Publishing, Inc. and its licensors. The platform is protected by copyright, trademark, and other laws of both the Philippines and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of C&E Publishing, Inc..

7. Payments and Billing (If Applicable)

   If KITE Academy 3.0, or any part thereof, requires payment, you agree to the pricing and payment terms available on the platform. All payments are non-refundable unless otherwise stated. C&E Publishing, Inc. reserves the right to change its prices at any time. If you subscribe to a paid plan, you will be notified in advance of any price changes.

8. Prohibited Conduct

   You agree not to:

   • use KITE Academy 3.0 for any illegal purpose or in violation of any local, state, national, or international law;
   • violate or encourage others to violate the rights of third parties, including intellectual property rights;
   • post, upload, or distribute any content that is unlawful, defamatory, libelous, or otherwise objectionable;
   • interfere with security-related features of the KITE Academy 3.0, including by: (a) disabling or circumventing features that prevent or limit use or copying of any content; or (b) reverse engineering or otherwise attempting to discover the source code of any portion of the platform; interfere with the operation of KITE Academy 3.0 or any user's enjoyment of the platform, including by: (a) uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code; (b) making unsolicited offers or advertisements to other users of the platform; (c) attempting to collect personal information about users or third parties without their consent; or (d) interfering with or disrupting any networks, equipment, or servers connected to or used to provide the platform, or violating the regulations, policies, or procedures of such networks, equipment, or servers; and
   • perform any fraudulent activity including impersonating any person or entity, claiming false affiliations, accessing KITE Academy 3.0 accounts of others without permission, or falsifying your age or date of birth.

9. Disclaimer of Warranties

   KITE Academy 3.0 is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

   C&E Publishing, Inc. does not warrant that:

   • KITE Academy 3.0 will function uninterrupted, secure, or available at any particular time or location;
   • any errors or defects will be corrected;
   • KITE Academy 3.0 is free of viruses or other harmful components; and
   • The results of using KITE Academy 3.0 will meet your requirements.

10. Limitation of Liability

    In no event shall C&E Publishing, Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use KITE Academy 3.0; (ii) any conduct or content of any third party on the platform; (iii) any content obtained from the platform; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

11. Indemnification

    You agree to defend, indemnify, and hold harmless C&E Publishing, Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of KITE Academy 3.0, by you or any person using your account and password; b) a breach of these terms; or c) content posted on the platform.

12. Termination

    We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the terms. Upon termination, your right to use KITE Academy 3.0 will immediately cease. If you wish to terminate your account, you may simply discontinue using the platform.

13. Changes to Terms

    We reserve the right, at our sole discretion, to modify or replace these terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use KITE Academy 3.0 after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the platform.

14. Governing Law

    These terms shall be governed and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights. If any provision of these terms is held to be invalid or unenforceable by a court, the remaining provisions of these terms will remain in effect.
